Settlement for client in Federal Securities Fraud case.
Gary R. Jones and Danielle M. Vranian successfully obtained a settlement on behalf of a defrauded investor who invested in a Maryland telecommunications company startup pursuant to a private placement in 2016. Baxter Baker attorneys filed suit in the United States District Court in Baltimore against the defendant corporation and its majority owner under federal securities laws and for securities fraud under the Maryland Securities Act, also known as the “ Blue Sky Law “. In addition to the full return of the clients investment, the client was able to use provisions of Maryland’s Blue Sky Law to obtain payment of pre- judgment interest and a large portion of attorney’s fees repaid to the defrauded investor. This was a significant victory as pre-judgment interest and attorney’s fees are not routinely awarded under Maryland law.
Baxter Baker Attorneys Use Force Majeure Clause to Negotiate Return of all Deposits by a Trade Organization and its Members.”
Baxter Baker attorneys Gary R. Jones, Niccolo N. Donzella, Danielle M. Vranian, and Caroline E. Payton successfully negotiated the return of close to half a million dollars in deposits made to a national hotel and convention chain by the Association of Dental Support Organizations (“ADSOt”) and its members for an annual convention cancelled due to COVID-19. The chain also agreed to refund $115,000 in individual room rate deposits in the ADSO room block. Although the chain initially refused to return the deposits, Gary R. Jones, who led the negotiations, persuaded the chain to drop its objections and return the funds, avoiding litigation and preserving the parties’ commercial relationship.
Successfully overturned
Portions of a Final Order from the Maryland State Board of Dental Examiners that imposed ultra vires sanctions on a Maryland dentist. Baxter Baker promptly filed a Petition for Judicial Review on behalf of the dentist in the Circuit Court for Howard County. The Petition was argued at a hearing in January 2020. The court agreed with the dentist’s argument that the Board exceeded its statutory authority and overturned the ultra vires conditions of probation set forth in the Final Order.
Received an arbitrator’s award.
On behalf of a withdrawn member of a limited liability company operating as a title and settlement company (the “LLC”). The plaintiff, who helped form the LLC in 2008, was effectively forced out of the business when his partners developed other outside companies and siphoned the LLC’s business to the new companies. After a two-day hearing in December 2019, the arbitrator issued a final, non-appealable award in favor of the plaintiff. The total award exceeded $1.1 million.
