Caroline Payton focuses her practice on complex civil litigation in the areas of legislative, regulatory, administrative, business and commercial law. Caroline represents and counsels clients across many different industries, including:
* Healthcare
* Technology
* Construction
Caroline represents her clients before state and federal courts, as well as before state and local administrative bodies.
Prior to joining the firm, Caroline worked in private practice in the Baltimore area, where her practice focused on civil defense litigation. In addition to litigation, Caroline has counseled companies on a wide range of issues, including regulatory compliance and employment matters.
Caroline graduated magna cum laude from the University of Maryland Francis King Carey School of Law and was inducted into the prestigious Order of the Coif upon graduation. While in law school, Caroline was an Articles Editor with the Maryland Law Review and worked as a research assistant to Professor Shruti Rana. She also served as a judicial intern to the Honorable Alison L. Asti at the Anne Arundel County Circuit Court. Additionally, she was a practicing student attorney in the Immigration Clinic, where she provided pro bono legal representation in a variety of immigration-related matters.
Outside of the office, Caroline enjoys spending her time with her husband, their rescue dog and their two cats in Columbia, Maryland.

The Physician Payment Sunshine Act: Navigating the Act for Health Care Provider and Medical Device/Big Pharma Clients, In-House Defense Quarterly (Fall 2016)
Maryland State Board of Dental Examiners
Successfully overturned portions of a Final Order from the Maryland State Board of Dental Examiners that imposed ultra vires sanctions on a Maryland dentist. Baxter Baker promptly filed a Petition for Judicial Review on behalf of the dentist in the Circuit Court for Howard County. The Petition was argued at a hearing in January 2020. The court agreed with the dentist’s argument that the Board exceeded its statutory authority and overturned the ultra vires conditions of probation set forth in the Final Order.
Win for Baltimore-Based Technology Firm
Caroline won a verdict in the Circuit Court for Baltimore City in favor of a Baltimore-based technology firm owed consulting invoice payment from an Atlantic City resort hotel and casino. In November 2019, Vranian and Payton won partial summary judgment in the plaintiff’s favor after the court determined that the hotel breached its contract with the plaintiff. At a trial in January 2020, the court awarded the full value of unpaid invoices to the plaintiff, plus interest.
